1. Agreement to these terms
These Terms & Conditions (“Terms”) form an agreement between you and Palette Technologies (“Palette Technologies”, “we”, “us”). By accessing https://palettech.com or engaging our services you accept these Terms. If you do not accept them, please do not use the site.
2. Services
Descriptions of services on this website are for information only and do not constitute an offer. Every engagement is governed by a separate written statement of work, proposal or master services agreement, which sets out the scope, deliverables, timeline and fees. Where a signed engagement document conflicts with these Terms, that document prevails.
3. Authorisation for security testing
Security testing is carried out only under written authorisation from a party entitled to grant it. Before any testing begins we agree rules of engagement covering scope, permitted techniques, testing windows and escalation contacts. You confirm that you have the authority to authorise testing of every system in scope, including obtaining consent from any hosting provider or third party where required.
4. Client responsibilities
- Provide accurate scope information, access and points of contact.
- Maintain current backups of any system that will be tested or changed.
- Nominate an owner for remediation of findings we deliver.
- Notify us promptly of changes that materially affect an agreed scope.
5. Deliverables and intellectual property
On payment in full, you receive a perpetual, non-exclusive licence to use the reports and deliverables produced for you, internally and for your regulators and auditors. We retain ownership of our underlying methodologies, tooling, templates and know-how. Deliverables may not be republished externally or used in marketing without our written consent.
6. Confidentiality
Each party will keep the other’s confidential information secure and use it only for the purposes of the engagement. Findings, network detail and business information disclosed to us are treated as confidential. This obligation survives the end of the engagement.
7. No guarantee of absolute security
Security assessment reduces risk; it cannot eliminate it. Our work reflects the scope, timeframe and information available at the time of the engagement. We do not warrant that any system is free of vulnerabilities, or that no security incident will occur.
8. Fees and payment
Fees, invoicing schedules and payment terms are set out in the applicable engagement document and in our Payment Terms. Unless stated otherwise, fees exclude applicable taxes and reasonable pre-approved expenses.
9. Limitation of liability
Nothing in these Terms limits liability that cannot lawfully be limited. Subject to that, neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or data. Our total aggregate liability arising out of an engagement is limited to the fees paid to us under that engagement in the twelve months preceding the claim.
10. Website use
The content of this website is provided for general information. You may not use the site unlawfully, attempt to gain unauthorised access to it, or interfere with its operation. Links to third-party resources are provided for convenience; we do not control and are not responsible for their content.
11. Changes
We may update these Terms from time to time. The version published on this page at the time you use the site is the version that applies. Material changes affecting an active engagement will be notified to the client directly.
12. Governing law
These Terms are governed by the laws of the State of Arizona, United States, and the courts of that state have exclusive jurisdiction, except where mandatory local law provides otherwise.
